Board Member Succession Planning and Operation

  • The Company currently has 7 directors, including 4 independent directors. Board members are elected by shareholders through a voting process to form the Board of Directors. The Board members possess professional backgrounds and skills, such as operational judgment, accounting and financial analysis, business management, crisis management, industry knowledge, international market perspective, leadership, and decision-making abilities.
  • The election of independent directors follows a candidate nomination system. Independent directors have relevant experience in business, legal, finance, accounting, or other areas necessary for the Company’s operations, and contribute substantively to enhancing Board effectiveness, ensuring oversight, and protecting shareholder interests.
  • Director succession candidates are selected not only based on their professional competence and experience but also to ensure that directors continuously update their knowledge and maintain their core value and professional capability. The Company arranges for directors to receive at least 6 hours of continuing education per year during their tenure, covering courses related to corporate governance, finance, accounting, management, legal matters, and internal control.
  • The Company has also established Board performance evaluation procedures. Performance assessments are conducted annually, and the results are reported to the Board. These results are used as a reference for individual director compensation and re-nomination for continued service.

Succession Planning and Operation for Key Management

  • The Company values the development of its talent pool and has established a comprehensive training system and promotion pathway, providing continuous opportunities for skill enhancement and career growth.
  • The Company encourages employees to improve their abilities and engage in lifelong learning by participating in internal and external training programs. Training participation and learning outcomes are recorded by the Human Resources Department to monitor employees’ training history.
